INTRODUCTION

The following rules of conduct and Distributor policies have been established for your protection. They represent the code of ethics by which all Partners must operate. We encourage you to read and understand them, so that you are fully aware, not only of your obligations but also of your rights as an Independent DAVILLA GOLD MINE Partner. We refer to our distributors as Partners. We want to work together to uphold the highest possible ethical standards. We are committed to maintaining the integrity of DAVILLA GOLD MINE, its sales and marketing plans and its distribution network of independent Partners.

TERMINOLOGY

Throughout this document, the words "he" and "she and "himself" and "herself" are used interchangeably, with one gender denoting the other wherever the word “PARTNER” is used, it denotes an independent distributor of DAVILLA GOLD MINE products.

COMPLY WITH RULES OF CONDUCT

Partners must comply with all DAVILLA GOLD MINE rules of conduct and any amendments or additions together with any procedures, recommendations, guidelines or instructions which may be issued from time to time.

Partners must keep themselves up to date with the terms and conditions, as well as any changes which may be made from time to time.

EQUAL OPPORTUNITY

DAVILLA GOLD MINE business opportunity is open to people from all walks of life, regardless of sex, race, nationality, religious beliefs or political affiliations.

REGISTRATION

Partners are to ensure that information given at registration point are correct and valid. Email will be validated at first login, first and last name should be as it is on partner bank account for ease of fund withdrawal processing. Any partner that submit false information, should see the false information section for penalties.

RESTRICTIONS ON PURCHASE REQUIREMENTS

The only cost required of an applicant to become a Partner is the one-off initial registration fee which comes with products (number of cartons depends the registration package)

A Distributor is not obliged to:

Pay any additional cost for registration after the first registration.

Purchase any amount for services rendered by the stockists

DAVILLA GOLD MINE products will be sold on a cash basis only, and no credit shall be entered into.

BECOMING A DISTRIBUTOR

To become a DAVILLA GOLD MINE Partner an applicant must register on a DAVILLA GOLD MINE Partners Website, or on DAVILLA GOLD MINE Main Website, and pay for a registration package to the company.During the registration process, the applicant will be required to provide the name of the sponsor that had recruited him/her. The sponsor can only be an active DAVILLA GOLD MINE Partner

After registration, the applicant must purchase a DAVILLA GOLD MINE Product(s) in order to become active. The applicant then becomes an active DAVILLA GOLD MINE Partner who can recruit and sponsor other DAVILLA GOLD MINE Partners into the network.

Commissions can only be earned by an active distributor. An inactive distributor does not qualify for commissions.

DAVILLA GOLD MINE  reserves the right at its sole discretion, to reject any application, without giving reasons for the rejection.

SELLING PRACTICES

Courtesy and Honesty; DAVILLA GOLD MINE Partners shall always conduct themselves in a courteous and considerate manner. All presentations of DAVILLA GOLD MINE Products must be complete and truthful, including but not limited to, instructions on the health benefits and precaution.

DAVILLA GOLD MINE offers a SELLING PRACTICES

Courtesy and Honesty; DAVILLA GOLD MINE Partners shall always conduct themselves in a courteous and considerate manner. All presentations of DAVILLA GOLD MINE products must be complete and truthful, including but not limited to, instructions on the handling, storage, health benefits and precautions.

DISTRIBUTOR AGE REQUIREMENTS

Applicants must be 18 years of age and above, otherwise legally capable of entering into a contractual agreement. Applicants under the age of 18 must obtain consent from their guardians.

LIMITED TO ONE DISTRIBUTORSHIP

An individual may operate only one DAVILLA GOLD MINE Partnership, and may have only a single sponsor.

DETERMINATION AND PENALTY FOR DUAL PARTNERSHIP

In the event that an individual complete and submit more than one application for Patnership, the first accepted by DAVILLA GOLD MINE is considered the valid Partnership.

If DAVILLA GOLD MINE determines that an individual has submitted an application for Partnership, while obligated to a prior Partnership, DAVILLA GOLD MINE has sole and absolute discretion to determine the disposition of both accounts, as well as any penalties or sanctions it deems necessary and appropriate for the Partner(s) and the sponsors.

TERRITORIES

DAVILLA GOLD MINE grants the Partner the right to operate  throughout Nigeria and other countries where DAVILLA GOLD MINE will spread to.

In the event that a member is recruited outside of The Federal Republic of Nigeria where DAVILLA GOLD MINE is not operating, the sponsor is liable to transport stock to their members.

Members outside of the Nigeria who do not possess a valid Nigerian bank account will receive their commissions in via /products, unless prior arrangements have been made, within the governing laws of said country. Or maybe a stockist has been registered in that country.

The costs associated with deliveries made to Members outside of Nigeria are to be paid by the member; including all relevant customs duties and/ or taxes, etc. for said territory.

EXPORTS

DAVILLA GOLD MINE Partners who wish to transport products to their team members outside the republic of Nigeria are responsible for the requirements in the borders of the countries concerned.

FALSE INFORMATION

No Partner shall knowingly submit false or misleading information to DAVILLA GOLD MINE. Violation of this rule could lead to rejection of your application or termination of your Partnership.

Sponsors are required to exercise care and diligence in ensuring the accuracy of the information supplied by their downlines. Fraud committed by downlines will negatively affect the sponsors partnership and may result in action taken against the sponsor such as, but not limited to, withholding of commissions, opening of a criminal case for fraud etc.

No Partner may make false representations or make statements which amount to misrepresentation as part of their DAVILLA GOLD MINE opportunity or product presentation.

No Member or Partner may make any claims, of any sort, that any of DAVILLA GOLD MINE Products are anything else other than food products.

INDEMNIFY DAVILLA GOLD MINE

Without prejudice to the other rights of DAVILLA GOLD MINE under these rules of conduct and other rules and regulations of the company, Partners shall indemnify DAVILLA GOLD MINE from and against all actions, claims, demands, prosecutions, fines, penalties and the costs thereof (including Partner’s actual legal costs) which might be made or brought against DAVILLA GOLD MINE in respect of, or arising directly or indirectly out of, any breach of any laws or regulations applying to the operation of their Partnership. DAVILLA GOLD MINE shall have no liability to any Partner in respect of any cost, loss, damage or expense suffered by any Partner directly or indirectly as a result of any act, omission, representation or statement of any Partner.

VIOLATIONS OF RULES OF CONDUCT

In the event of a violation of the DAVILLA GOLD MINE rules of conduct, procedures or directions issued by DAVILLA GOLD MINE the company may in its sole discretion take whatever actions or measures it deems necessary and appropriate, including but not limited to, suspension of buying privileges, suspension of earnings, monetary fines or deletion or termination of the Partnership.

LIABILITY FOR UNPAID DEBTS

A Partner who resigns will remain liable for unpaid debts owed to DAVILLA GOLD MINE or for liabilities for violations of the DAVILLA GOLD MINE rules of conduct or other rules and regulations that govern the business practices of Partners.

RESIGNATION

A Partner may resign his/her Partnership at any time, by submitting a witnessed letter of resignation to DAVILLA GOLD MINE. The resignation becomes effective when received, validated and accepted by DAVILLA GOLD MINE. The company will acknowledge in writing when this is complete via email.

Resignation means you no longer wants to continue the business with DGM and this does not come with a refund. There is a non refund policy once a partner or Stockist is registered on our website or made payments for registration, products or a Stockist part payment to lock down a choice location to establish a Stockist Center, you are entitled to pick up the product you paid for before the resignation because money paid to the Company will not be refunded.

Failure to purchase stock for a consecutive 3 months period will render the partnership dormant. A dormant account cannot earn commissions nor can they be reactivated through purchase of stock. As such they will be deemed to have resigned. Reactivation of a dormant account will entail filling out a form with updated information and paying a sum of Three Thousand Naira and make a minimum purchase of two cartons of Peanut.

INDEPENDENT DISTRIBUTORS

All DAVILLA GOLD MINE Partners are independent business persons with a direct contractual relationship to DAVILLA GOLD MINE Ltd.

No Partner shall represent or imply that he has any employment relationship with DAVILLA GOLD MINE or with any of its affiliated companies. Partners should NOT use the words "employee", "agent" or "company representative" verbally or on any stationery, business cards, or other printed material.

ANNUAL PARTNERSHIP FEE

There is an annual partnership fee to renew membership right, which is sum of #5000 annually

MEMBERSHIP FEE

DAVILLA GOLD MINE does not charge a membership fee during registration and monthly, Members remain as Partners in different ranks by virtue of the sales performance

Satisfaction Guarantee:

DAVILLA GOLD MINE offers a Customer Satisfaction Guarantee. If your customer is not completely satisfied with their purchase and has a valid complaint about the product, we will replace it without charge, but we don't refund money for a product already purchased. The product must be returned with proof of purchase within 14 days.

The satisfaction guarantee does not apply to products that have been consumed, misused or stored in inappropriate places or transported in inappropriate situations. So the company will do our verification to ascertain that.

Product should be stored in a normal room temperature and dry place.

NON REFUNDABLE DEPOSIT

Stockists are allowed to take their choice location and lock it down with a deposit of not less than N1,000,000 (one million naira only). After the deposit into the company account the location will not be given to another stockist who shows interest  for the same location even if the person comes with full payment.

The stockist will be given a maximum of 3 months for commencement of the stockist centre in the location by making full payment and meeting other requirements such as getting the store ready, brand it and equip it for business to fully commence.

A stockist who locks down a location with a deposit in  the company who is no longer willing to commence the stockist centre, the deposit made will not be refunded directly, it will be refunded by purchasing an equivalent product which will not be at the stockist price. If the intending Stockist has registered for a distribution package the product will be given at partners price (the company price) if not the product will be given at wholesale price.

On the alternative The Stockist can get another stockist to take the slot and get his/her money back when the  new Stockist makes full payment.

In a situation where the prospective Stockist cannot wait to get another Stockist to take that location to get his/ her refund and doesn't want to pick up the product equivalent, the condition for refund is as follows;
a. The prospective Stockist will officially write a resignation letter to discontinue from Stockist and release the location locked down for another prospective Stockist to take.
b. The person will forfeit 35% percent of the money paid to the company
C. The refund takes 45 to 60 working days after the acknowledgement of the resignation letter tendered by the prospective Stockist.

Non- Refundable payment for Partners

A partner can make advance payment for Goods or register a new partner even when the product is out of stock, the advance payment will not be refunded to the partner if there is delay in delivery of the product or in operations from the system.

Product received in good condition cannot be returned for refund of money or replacement of product.

Davilla Gold Mine does not refund payment made for product or registration.

Davilla Gold Mine will replace a product that has production error that is not  in good condition for consumption.The partner must report the issue within 48 hours of picking the product and return the product within the next 7 days after the complaint.

Replacement will be made within 40 days of return to the stockist Center, to enable the Stockist to get a new stock from the Company which will be used for replacement, if the stockist already has the product the partner will get the new product within 7 days. This replacement complaint must be officially approved by the company before the Stockist will release the stock. The partner has to send the complaint to DGM complaint line or email.

Product received in good condition from the Stockist center will not be returned damaged, if returned it will not be accepted by the Stockist.

In a case of error in production noticed by the consumer or the partner who purchased the product from the Company, such product should be returned as evidence for replacement within 14 days after complaint.

A complaint for product replacement cannot be approved if the evidence is not clear to the company and if the said bad product is not returned. In the absence.. of evidence and return of the product in question, there will be no replacement of the product. The partner's claim is not valid.

Partners will only receive the quantity of products returned in replacement. Same applies for Stockist replacement of product 

PRICE CONTROL

Davilla Gold Mine has a recommended  price that Partners must sell to Retailers and Recommend package registration. NO partner should take more than the Registration package amount from a Prospect, if this is discovered the partner account will be terminated by the Company. Partners are to sell the product at the Company recommended price.

BVN and NIN KYC

BVN and NIN is third party validation done without manual approval and we do not have access to your BVN or NIN, the approve agency by the government only use it to verify the details you submitted to us and your BVN and NIN is not stored on our website or portal.

PRICE CHANGE

Davilla Gold Mine reserves the right to change the product and registration package prices anytime based on raw material market price and running cost of the Network.
